Use this QuickForm Purchase Order Terms & Conditions to document the contractual terms on which your Company purchases goods and services from suppliers in the absence of a more specific agreement. These Terms & Conditions should be printed on the back of your Purchase Order form.

The Terms are drafted broadly to cover a wide range of possible transactions involving goods and services, including software products and consulting services, rental or use of facilities and many other circumstances.

A standard Purchase Order is an important document for any company. It provides back-up protection in the many cases when suppliers don't sign separate agreements or when existing agreements unknowingly expire. It also provides basic protection for assorted purchases that do not justify dedicated agreements.

Without a Purchase Order form containing contractual terms, you risk being governed by the supplier's unfavorable invoice terms. Or, you could be exposed to statutory "default rules" that may be implied by law in the absence of a written agreement.

Suggestion: We think this is a very important document for every corporate Purchasing Department to use on a regular basis. Print this document on the back of your standard P.O. form and have your suppliers regularly sign your POs.
