Use this QuickForm Software Translation Alliance Program Exhibit to authorize an Alliance Member to translate your software for a foreign language market (e.g., from English to Spanish or Chinese).

You can also have the software "localized" to reflect the local laws, customs and business practices in the local market.

Under this Alliance, you can arrange now to have future software updates translated. You can specify a variety of Membership Fees to be paid by the Alliance Member and you can specify that Development Fees will be paid to the Alliance Member.

You can require that a parent or affiliate of the Alliance Member guarantee the Alliance Member's performance of the agreement, or at least guarantee its adherence to restrictions  protecting confidential information and intellectual property rights in the software.

You can pay the Alliance Member a percentage of sales received by the Company from future commercialization of the translated software in the local market.
