This QuickForm Shareholder Buy-Sell Agreement helps control the disposition of ownership interests in a closely-held company. 

Buy-Sell Agreements can make the ownership interests in a small company more marketable in the event of the owner's death or disability. Rights-of-Refusal can prevent ownership interests from being sold to competitors or other unsuitable buyers.

Rights-of-refusal can be triggered upon the death, disability, termination of employment or the owner's stated desire to sell its interest. Death/disability buy-outs can be funded with insurance.

Various pricing and payment methods are provided. Interests can be redeemed by the company, or purchased by remaining owners (and various hybrid methods). Use it for corporations, limited liability companies, partnerships and limited partnerships.

Note: this agreement REGULATES THE DISPOSITION of an owner's existing interest in a company. It is not to be used for the outright purchase or sale of a business (i.e., it is not an Asset Sale Agreement or a Stock Sale Agreement that you would use to purchase a business outright). Display the Table of Contents for this Document.
